These Terms of Service (“Terms”) form a binding agreement between you (“Client”, “you”) and Romulus Cyber LLC (“Service Provider”, “we”, “us”) for the provision of web design, hosting, maintenance, and related services. By engaging our services (via signature, payment, or written confirmation), you accept these Terms.
The specific services, deliverables, timeline, and fees will be detailed in a separate written proposal, scope, or invoice. These Terms supplement and govern that agreement.
Any work outside the agreed scope must be approved via change order and may incur additional fees.
The Client must pay the agreed setup / design fee before commencement of work.
If the Client opts into a maintenance plan, monthly fees begin after project completion and acceptance.
Clients not under a maintenance plan may request future updates, edits, or support, billed at $75/hour, in 30-minute increments, with a minimum charge of $37.50 per request. Requests must be made in writing and will be scheduled based on availability. Emergency or rush requests may incur additional fees.
Overdue amounts may be subject to interest (e.g. [X]% per month) or suspension of services.
The setup fee includes registration of one standard domain (valued up to $20/year, e.g. .com, .net, .org). If the Client requests a premium or non-standard domain extension (e.g. .shop, .co, .studio), the Client will be invoiced separately for the difference prior to registration. Domain registration will only proceed after full payment of the premium portion.
You agree to:
Provide access, credentials, content, assets, feedback, and approvals promptly
Ensure all content is lawful and cleared for use (copyrights, trademarks, licenses)
Retain backups of your own content, as we are not liable for client-originated content loss
Refrain from unauthorized modifications, code, or content changes after transfer
If delays occur due to your inaction or failure, timelines may shift or fees may adjust.
You shall review deliverables within a reasonable timeframe and submit feedback or approval in writing.
Upon full payment, you own the website content, domain, and delivered design, code, and assets.
If you terminate services or decline maintenance, we will transfer site ownership and access upon request (excluding any domain/hosting prepaid beyond the cancellation).
We grant you a perpetual, worldwide, non-exclusive license to use the delivered design, code, content, and assets. You may reuse them freely thereafter.
If you decline a maintenance plan and assume full ownership, we will remove administrative access once the ownership transfer is complete.
For any post-project edits, updates, or support, you must temporarily restore appropriate access (e.g. sharing credentials, collaborator permissions, or project file exports). Alternatively, you may request that we recreate or modify the site under our account; after completion, we will transfer it back.
All such requests by non-maintenance clients are billed at $75/hour, in 30-minute increments, with a minimum charge of $37.50 per request.
We disclaim liability for any technical issues, errors, or breakage resulting from third-party changes, unauthorized edits, platform limitations, or edits made by others after ownership transfer.
Starter Plan ($75/month): Up to 1 hour of content updates per month
Business Plan ($125/month): Up to 2 hours of content updates per month
Content updates may include changes to existing pages, text, images, or media. Unused hours do not roll over. Additional time beyond included hours is billed at the discounted maintenance rate of $50/hour, in 30-minute increments.
Major redesigns, new feature development, custom integrations, or third‑party add-ons beyond the agreement scope are not included and will require separate quoting.
We aim for reliable service, but make no guarantees of uninterrupted operation. We are not liable for downtime or interruptions unless due to gross negligence.
Services are provided “as is.” We expressly disclaim all implied warranties (merchantability, fitness for particular purpose, non-infringement).
To the fullest extent permitted by law:
Our aggregate liability for all claims will not exceed the total fees you paid under this agreement.
We are not liable for indirect, special, incidental, punitive, or consequential damages (including lost profits or data loss).
Any claim must be brought within one (1) year from the date the cause of action arises, or it is barred.
Either party may terminate this agreement if the other materially breaches and fails to cure within [14] days of written notice.
All outstanding fees or reimbursements become immediately due. We may cease maintenance, hosting, or support, and will transfer site files, assets, or access as requested.
Prepaid domain or hosting fees beyond the termination date may be reimbursed proportionally (minus transaction or transfer costs).
This agreement is governed by the laws of the State of North Carolina, USA.
You agree that any dispute will be litigated exclusively in state or federal courts located in North Carolina.
Before filing suit, both parties shall attempt in good faith to resolve disputes via negotiation or mediation.
Neither party will be liable for delays or failures caused by events beyond reasonable control (e.g. natural disasters, war, internet outages, governmental acts).
If any provision is held invalid, the remaining provisions remain in full force.
Failure to enforce any right is not a waiver of that right.
These Terms, along with the proposal/scope document, constitute the full agreement between you and us, superseding any prior understandings.
We may revise these Terms occasionally. The “Last Updated” date will be updated; continued use of services after changes implies acceptance.
